What is a Copyright Assignment Deed?

A copyright assignment deed transfers ownership of copyright in a work — writing, music, artwork, photographs, software — from the owner to another person or company, usually in return for payment.

Under the Copyright Act, 1957, an assignment must be in writing and signed by the assignor, and should identify the work, the rights assigned, the duration and the territory. If the duration isn’t stated, it is taken to be five years; if the territory isn’t stated, it is taken to be India.

When to use it

  • A company is buying the rights to software, content or artwork created by an outsider.
  • An author or artist is selling rights in their work.
  • Rights need to be consolidated in one owner before a sale or investment.

How to make it legally valid

  • In writing and signed by the assignor.
  • Rights, duration and territory stated — otherwise the statutory five-year / India defaults apply.
  • Stamp duty where your state charges it on such deeds.

Common mistakes to avoid

  • Not stating the duration, so the assignment lapses after five years.
  • Describing the work so vaguely that later versions or related works are disputed.
  • Forgetting the author’s moral rights, which are not assigned with the copyright.
