What is an Employment Agreement (Full-time)?
An employment agreement is the contract between an employer and a full-time employee setting out the terms of the job: designation and duties, place of work, salary and benefits, working hours, probation, leave, notice period, confidentiality and ownership of work created during employment.
An offer letter usually covers the headline terms; the employment agreement is the fuller document both sides sign, and it is what an employer relies on if a dispute about notice, confidentiality or intellectual property arises later.
When to use it
- You are hiring a full-time employee and want the terms of employment in a signed contract.
- Your offer letters are brief and you need the detailed terms — notice, confidentiality, IP — documented.
- An employee is moving to a new role or revised terms and a fresh agreement is needed.

How to make it legally valid
- Signed by an authorised signatory of the employer and by the employee; each keeps a copy.
- Terms consistent with the labour laws that apply to your establishment, including your state’s Shops and Establishments rules — a contract cannot take away statutory entitlements.
- Stamp duty where your state charges it on agreements.
- Restrictions during employment are generally enforceable; a non-compete that applies after employment ends is generally void under Section 27 of the Indian Contract Act.
Common mistakes to avoid
- Contract terms that fall below statutory minimums for leave, wages or notice.
- Relying on a post-employment non-compete clause to stop an employee joining a competitor.
- No clause assigning to the employer the intellectual property created in the course of employment.
- Salary and designation in the agreement not matching the offer letter or payroll.
