What is a No Objection Certificate (Property Sale)?
A no objection certificate (NOC) for property sale is issued by a housing society, apartment association or builder to confirm that the owner of a flat or unit has cleared all dues and that the society has no objection to its sale or transfer.
Buyers’ banks and the buyer’s lawyer commonly ask for it, and in a co-operative housing society it precedes the transfer of the share certificate and membership to the new owner.
When to use it
- A flat owner is selling and the buyer or the buyer’s bank asks for a society NOC.
- A society secretary needs a standard format to issue the certificate.
- A builder must confirm no dues before a resale of a unit in its project.

How to make it legally valid
- Issued on the society’s letterhead and signed by the secretary or another authorised office bearer, with the society seal.
- Issued in line with the society’s bye-laws — some require a managing committee resolution.
- Dues confirmed against the society’s actual accounts.
Common mistakes to avoid
- Issuing the NOC while dues are still outstanding.
- Signed by someone the bye-laws do not authorise.
- Unit number or owner names that differ from the title deed.
