What is a Trademark Assignment Deed?
A trademark assignment deed transfers ownership of a registered or applied-for trademark from one owner to another, usually together with the goodwill of the business it identifies.
After assignment, the new owner applies to the Trade Marks Registry to be recorded as proprietor. Assigning a mark without the goodwill of the business is possible but has additional requirements under the Trade Marks Act, 1999.
When to use it
- A founder is moving a brand registered in their name to their company.
- A business is selling a brand, alone or with the business.
- Group companies are reorganising brand ownership.
